Streamcentives Terms of Service

1. Acceptance of Terms

Welcome to Streamcentives. By accessing or using our platform, mobile applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Streamcentives, Inc. ("Streamcentives," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, remedies, and obligations, including various limitations and exclusions, and a binding arbitration clause and class action waiver that affect how disputes will be resolved.

If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

Streamcentives is a three-sided marketplace platform that connects:

  • Creators: Artists, musicians, influencers, and content creators who build campaigns and engage with fans
  • Fans: Users who engage with creators, earn SP (StreamPoints), and redeem rewards
  • Sponsors: Brands and businesses that create sponsorship opportunities and brand deals

The Service includes gamification features, SP rewards, leaderboards, communities, live streaming, marketplace functionality, and creator monetization tools.

3. Eligibility and Account Registration

3.1 Age Requirements

  • General Users: You must be at least 13 years old to use the Service (or 16 in certain jurisdictions)
  • Creators and Sponsors: You must be at least 18 years old to access creator or sponsor features that involve financial transactions, contractual agreements, or identity verification
  • Parental Consent: Users between 13-18 may require parental or guardian consent in certain jurisdictions

3.2 Account Responsibilities

You are responsible for:

  • Providing accurate, current, and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Keeping your contact information up to date

3.3 Account Verification

Creators and sponsors accessing payout features may be required to complete identity verification with our payout processor. This may include providing government-issued identification, tax information, and banking details.

4. SP (StreamPoints) and Virtual Currency

4.1 Nature of SP

StreamPoints (SP) are a virtual reward used within the Streamcentives platform. SP may be earned through engagement with creators or purchased through in-app purchase on supported platforms. All SP purchases are final and non-refundable except where required by law; if a purchase is refunded or reversed by the payment platform, the corresponding SP is deducted from your balance, which may become negative. SP is not money, has no monetary value outside the platform, is not redeemable for cash, and is not transferable or exchangeable outside Streamcentives.

4.2 Earning SP

SP can be earned through:

  • Watching and engaging with creators across supported platforms
  • Completing creator campaigns and challenges
  • Participating in community activities
  • Referrals and promotional activities
  • Other engagement activities as designated by Streamcentives

4.3 Using SP

SP can be used to:

  • Redeem rewards offered by creators
  • Participate in leaderboards and competitions
  • Access exclusive content and features
  • Purchase services in the creator marketplace
  • Cash out (for eligible users, subject to fees and thresholds)

4.4 Platform Rights

We reserve the right to:

  • Modify SP earning rates, redemption values, and features at any time
  • Expire unused SP after extended periods of account inactivity
  • Revoke SP obtained through fraud, manipulation, or violation of these Terms
  • Set minimum thresholds for cash-out and impose processing fees

4.5 No Transferability

SP is non-transferable between accounts. You may not sell, trade, gift, or otherwise transfer SP except through official platform features.

5. Creator Terms

5.1 Creator Eligibility

To become a creator on Streamcentives, you must:

  • Be at least 18 years old
  • Complete identity verification with our payout processor (for payout features)
  • Agree to our Creator Guidelines and Community Standards
  • Provide accurate information about your creative work and brand

5.2 Revenue Sharing and Fees

  • Platform Fee: Streamcentives charges a 5% platform fee on creator earnings from brand deals, tips, and marketplace sales
  • Payment Processing: Additional payment processing fees may apply
  • Payout Schedule: Earnings are paid out according to our payout processor's schedules, typically 2-7 business days after available balance
  • Minimum Threshold: Minimum payout thresholds may apply

5.3 Creator Obligations

As a creator, you agree to:

  • Fulfill campaign obligations and deliver promised rewards
  • Respond to fan inquiries in a reasonable timeframe
  • Comply with all applicable laws, including FTC disclosure requirements
  • Not engage in deceptive practices or artificial engagement manipulation
  • Maintain accurate and current profile information

5.4 FTC Compliance

Creators must comply with Federal Trade Commission (FTC) guidelines regarding endorsements and sponsored content. This includes clearly disclosing material connections with sponsors and brands using appropriate disclosures (e.g., #ad, #sponsored, "Paid partnership").

6. Sponsor Terms

6.1 Sponsor Eligibility

To become a sponsor on Streamcentives, you must:

  • Be a legally registered business or authorized representative
  • Complete identity and business verification
  • Agree to our Sponsor Guidelines
  • Comply with all applicable advertising laws and regulations

6.2 Brand Deal Escrow

For brand deals, funds are held in escrow until milestone completion. Our escrow process protects both sponsors and creators:

  • Funds are held securely until deliverables are approved
  • Milestone-based releases ensure accountability
  • Dispute resolution procedures apply if disagreements arise

6.3 Sponsor Fees

  • Platform Fee: Sponsors may be charged a platform fee on deal transactions
  • Payment Processing: Standard payment processing fees apply

6A. Campaign Terms

Campaigns (also referred to as "Quests") may only be created by verified Creators and Sponsors. All campaigns reward participants exclusively in Streamcentives Points ("SP") — never cash, cryptocurrency, tokens, securities, or any other instrument of monetary value. Available campaign types currently include Listen, Follow, Share, Stream, and Purchase campaigns. By creating, funding, or participating in a campaign, you agree to the additional terms in this Section 6A, which supplement (and do not replace) Sections 5 and 6.

6A.1 Platform Fees on Campaigns

  • A 10% platform fee applies to all campaign spend (the SP funded into a campaign by a Creator or Sponsor).
  • No hidden fees on payouts: participants receive the full SP amount advertised by the campaign; Streamcentives does not deduct fees from participant rewards.
  • Refund policy on unspent SP: if a campaign is canceled or ends with unspent SP, the unspent portion is returned to the funder's balance. The 10% platform fee on the unspent portion is refunded; the platform fee on SP already distributed is non-refundable.
  • C2C referral bonus: the standard 5% creator-to-creator referral bonus (12-month window) applies to eligible campaign spend as described elsewhere in these Terms.

6A.2 Content, Eligibility & Conduct Rules

  • Prohibited campaign content: illegal activity, hate speech, harassment, adult or sexual content, gambling, unregulated financial products, weapons, controlled substances, and any content that violates the Terms of Service of a linked third-party platform (including Spotify, Apple Music, YouTube, Twitch, Kick, TikTok, and Instagram).
  • No incentivized fake engagement: campaigns may not require, reward, or facilitate bot activity, purchased streams, fake followers, coordinated inauthentic behavior, or any other artificial inflation of metrics. Detected fraud voids the associated SP payout and may result in account suspension or termination.
  • Purchase campaigns: the Creator or Sponsor running a Purchase campaign is solely responsible for order fulfillment, shipping, applicable taxes, returns, warranties, and consumer-protection compliance for the underlying physical or digital goods. Streamcentives is not the merchant of record for those goods.
  • FTC and disclosure compliance: participants completing Share or social-post campaigns must disclose the paid or incentivized nature of the post (for example, #ad or #sponsored) in accordance with the FTC Endorsement Guides and equivalent laws in the participant's jurisdiction.
  • Age & account eligibility: campaign participants must be at least 13 years old (or the higher minimum age required by their jurisdiction) and hold an account in good standing. Creators and Sponsors funding campaigns must be at least 18 years old.
  • Accurate targets and rewards: the campaign title, described action, target metric (plays, follows, shares, streams, or purchases), and SP reward must accurately reflect what participants are required to do. Bait-and-switch reward amounts, misleading titles, and hidden requirements are prohibited.
  • Right to remove: Streamcentives may pause, edit, or remove any campaign that violates these rules, with any associated SP funding handled per the refund policy in Section 6A.1.

6A.3 Campaign Dispute Resolution

This section governs disputes arising from standard SP campaigns. Disputes arising from Brand Deal campaigns remain governed by the Brand Deal Contract Binding & Enforcement module in Section 6.2 (escrow, mutual sign-off, and arbitration).

  • Participant disputes (for example, a completed action for which SP was not credited) must be raised through the in-app support flow. Streamcentives reviews platform tracking data — including Spotify and Apple Music listening heartbeats, follow and share verification signals, and purchase receipts — and, where the action is confirmed, credits the participant's SP balance within the applicable review window.
  • Creator and Sponsor disputes against a participant (such as suspected fraud or a chargeback initiated on a Purchase campaign) may result in Streamcentives freezing the disputed SP pending review.
  • Final decisions on standard SP campaign disputes rest with Streamcentives, acting reasonably and in good faith based on available platform data. Disputes involving Brand Deal escrow are escalated per Section 6.2.
  • Nothing in this section limits a user's rights under the general dispute resolution and arbitration provisions in Section 14.

7. User Conduct and Acceptable Use

You agree to use the Service in accordance with our Acceptable Use Policy. You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Harass, abuse, threaten, or harm other users
  • Share inappropriate, offensive, defamatory, or illegal content
  • Impersonate any person or entity
  • Use automated systems, bots, or scripts to manipulate SP, engagement metrics, or platform features
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Violate intellectual property rights of others
  • Engage in fraud, spam, or deceptive practices
  • Circumvent any security or access controls

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant Streamcentives a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and create derivative works from your User Content in connection with operating and promoting the Service.

8.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to submit the content
  • Your content does not infringe on any third-party rights
  • Your content complies with these Terms and applicable laws

8.3 Platform Content

The Service and its original content (excluding User Content), features, and functionality are owned by Streamcentives and are protected by copyright, trademark, and other intellectual property laws.

8.4 DMCA and Copyright

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). For copyright infringement claims, please see our DMCA Policy.

Third-Party API Services & Platform Disclaimers

Streamcentives integration features are powered independently by the YouTube API Services, Spotify Web API, and Kick Developer Services. Streamcentives is an entirely independent software application; it is not endorsed by, directly affiliated with, maintained, authorized, or sponsored by Google LLC, YouTube, Spotify AB, or Kick Streaming. All product, company, and platform names are the registered trademarks of their original owners. The auxiliary presentation of these public metrics does not imply any cross-platform commercial partnership.

By accessing or using Streamcentives, you agree to comply with and be bound by the YouTube Terms of Service, the Spotify Terms of Service, and the Kick User Agreement.

Usage Limitations

Users are strictly prohibited from utilizing automated scripts, bots, or framing techniques to manipulate stream engagement tallies, artificially inflate watch-time SP allocations, or reverse-engineer API communication layers. Streamcentives reserves the right to instantly terminate user workspaces or clear cumulative SP histories if fraudulent cross-platform metric exploitation is detected.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Public Authority Data Requests

Streamcentives vigorously reviews all government, national security, or public authority data requests for strict legal validity before disclosing any Platform Data. If any data request lacks proper judicial authorization, contains jurisdictional defects, or violates user privacy rights under applicable law, Streamcentives maintains a formal policy to legally challenge, narrow, or appeal the request before disclosing any information.

  • Narrowing: We seek to narrow the scope of every request to only the information strictly required.
  • Default User Notice: Unless we are legally prohibited (e.g., by a gag order or sealed court order), we will notify the affected user before disclosing Platform Data, typically with no less than ten (10) business days' lead time so the user may seek legal counsel or a protective order. Where pre-disclosure notice is prohibited, we will notify the user promptly after the restriction is lifted, expires, or lapses.
  • Emergency Disclosures: In good-faith emergency disclosures (risk of death or serious bodily harm), we will notify the user after the emergency is addressed, unless prohibited by law.
  • Documentation & Transparency: All disclosures are documented internally and summarized in an annual transparency report.
  • Contact: Legal process should be served on legal@streamcentives.io.

This clause mirrors Section 4.5 of our Privacy Policy and is provided here for consistency. If there is any conflict, the Privacy Policy controls.

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe that you have violated these Terms.

10.3 Effect of Termination

Upon termination:

  • Your license to use the Service terminates immediately
  • Accumulated SP may be forfeited unless cash-out is completed
  • We may delete your account and associated data (subject to our data retention policies)
  • Outstanding payment obligations remain due

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STREAMCENTIVES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT

We do not guarantee that the Service will meet your requirements or that any results or outcomes (such as SP earnings or campaign success) will be achieved.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STREAMCENTIVES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • DAMAGES RESULTING FROM THIRD-PARTY CONDUCT ON THE SERVICE

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100 USD.

13. Indemnification

You agree to defend, indemnify, and hold harmless Streamcentives and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any rights of a third party
  • Your violation of any applicable laws or regulations

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

14.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the formation, interpretation, breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

14.2 Class Action Waiver

YOU AND STREAMCENTIVES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.3 Exceptions

This arbitration agreement does not preclude you from:

  • Bringing issues to the attention of federal, state, or local agencies
  • Seeking injunctive relief in court for intellectual property infringement
  • Filing claims in small claims court (if applicable)

14.4 Opt-Out

You may opt out of this arbitration agreement within 30 days of creating your account by sending written notice to legal@streamcentives.io. If you opt out, you and Streamcentives will resolve disputes in court.

14.5 Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and other policies referenced herein, constitute the entire agreement between you and Streamcentives regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via email or prominent notice on our Service
  • Provide at least 30 days' notice before material changes take effect

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.

Brand Deal Contract Binding & Enforcement

Sponsorship offers submitted through Streamcentives are governed by a binding escrow workflow:

  • 100% Upfront Escrow. When a sponsor sends an offer, the full contract value is charged immediately and held in platform-managed Stripe escrow.
  • Automatic Refund on Decline or Expiry. If the creator declines the offer or it expires before acceptance, the full amount is automatically refunded to the sponsor (typically 5-10 business days).
  • 50% Released on Acceptance. The moment a creator accepts an offer, 50% of the contract value is non-refundably released to the creator's payout balance. This deposit is a binding commitment.
  • 50% Released on Completion. The remaining 50% is released only after contract milestones are verified complete by the sponsor and/or Streamcentives.
  • Contract Lock-In. Once a creator accepts an offer, sponsors may NOT unilaterally modify contract details, scope, deliverables, or campaign parameters. Any change requires the creator's written consent through the platform.
  • Creator Non-Performance. Failure to deliver agreed-upon obligations subjects the creator to: (a) clawback of the 50% initial deposit via Stripe reversal, (b) forfeiture of the remaining 50%, (c) profile suspension pending review, and (d) potential permanent removal from the platform for repeat or egregious offenses.
  • Disputes. Either party may open a dispute; funds remain frozen until Streamcentives' review team resolves the matter, typically within 7 business days.

By sending or accepting an offer through the Service, both parties acknowledge and accept these escrow rules.
